Esperto di private equity e venture capital, con particolari competenze nell’ambito delle fusioni e acquisizioni sia nazionali che cross border.
Attilio Mazzilli si laurea in Giurisprudenza presso l’Università di Milano con una tesi dal titolo “The Insurance contracts in private international law". Nel 2003 ottiene l’abilitazione all’esercizio della professione legale. In quegli anni già collabora in veste di Associate con lo studio legale di Milano Pavia e Ansaldo. Nel 2006 si trasferisce a Los Angeles, in California, dove consegue un Master of Laws in Business&Corporate Law presso la University of Southern California School. L’anno successivo è di nuovo a Milano e fa il suo ingresso nello studio legale Chiomenti come Senior Associate. Rimane fino al 2011, anno in cui diventa Partner e Head of International Development dello Studio Carnelutti. L’esperienza in Carnelutti termina nel 2015, anno in cui passa al noto studio legale internazionale Orrick, Herrington & Sutcliffe. Partner della global law firm, Attilio Mazzilli ricopre anche la carica di Co-Managing Partner per le sedi italiane e Responsabile del Tech Group Italiano. È inoltre membro dell’International Technology Companies Group. Per conto di Orrick si occupa di operazioni M&A nel private equity e nel venture capital e assiste startup e fondi di Venture Capital sia in operazioni di finanziamento che per gli aspetti legati al diritto societario, M&A e quotazioni. Collabora come consulente per importanti società tech, affiancando i fondatori in tutte le fasi del ciclo di vita. Per la sua attività in Orrick, nel 2020 è stato nominato Avvocato dell’Anno Venture Capital ai Legalcommunity Awards. Grazie al suo contributo, la legal firm ha ottenuto diversi riconoscimenti, tra cui Studio dell’anno Venture Capital 2021 e Studio dell’anno M&A Small Cap 2020 secondo BeBeez e PBV, ai quali si aggiunge quello di Studio dell’Anno Fintech 2020 ai TopLegal Industry Awards.
Durante i primi mesi di pandemia, ha collaborato con il Ministero dell'Innovazione, dalla Commissione Finanze e con VC Hub nella stesura di alcune misure urgenti ad hoc volte a fornire supporto finanziario alle aziende tech e innovative in Italia. Nello stesso periodo uno dei suoi clienti, Bending Spoons, ha sviluppato Immuni, l'applicazione promossa dal Ministero della Salute per la gestione della pandemia di COVID-19 in Italia.
In oltre 22 anni di esperienza, Attilio Mazzilli ha partecipato a numerose operazioni di rilievo, assistendo realtà quali Gruppo Intesa San Paolo, Cattolica Assicurazioni, Teko Telecom, Octo Telematics e Prima Assicurazioni. Ha inoltre assistito Banca Sella Holding e Fabrick nell’accordo di joint venture con illimity Bank relativo ad Hype e Cerba HealthCare nell’acquisizione da Investindustrial di Lifebrain. Tra i clienti più noti anche Scalapay, che ha recentemente seguito sia nell’ultimo round da unicorno guidato dalla cinese Tencent che nel round Serie A guidato da Tiger Global.
Attilio Mazzilli is a Corporate Partner at Orrick, Herrington & Sutcliffe LLP, a global law firm where he also serves as Co-Head of Italian offices, Head of the Italian Tech Group and Member of the International Technology Companies Group. He specializes in private equity and venture capital and has long expertise in domestic and cross-border M&A transactions.
Attilio Mazzilli received his Law degree from the University of Milan (dissertation on “The insurance contracts in private international law”) and was admitted to the Italian Bar Association in 2003. After beginning his career as an Associate at “Pavia e Ansaldo” law firm in Milan, he moved to Los Angeles, California, where he obtained a Master of Laws in Business&Corporate Law from the University of Southern California. He subsequently came back to Milan to work as a Senior Associate at “Chiomenti” law firm before joining “Carnelutti” law firm as Partner and Head of International Development from 2011 to 2015.
He is currently a Corporate Partner, Co-Head of Italian offices, and Head of the Italian Tech Group at Orrick, Herrington & Sutcliffe LLP, a global law firm where he advises on M&A, private equity and venture capital transactions, and provides counsel to startups and venture capital firms on financing, corporate law, M&A, and listings. He also works as a consultant for leading tech companies, supporting their founders throughout their life-cycle. Additionally, he is a Member of the International Technology Companies Group at Orrick.
Attilio Mazzilli was named “Lawyer of the Year for Venture Capital” in the 2020 Legalcommunity Awards, and his work has contributed to numerous awards for Orrick, Herrington & Sutcliffe LLP, including “Law Firm of the Year 2021 for Venture Capital”, “Law Firm of the Year 2020 for M&A Small Cap” (BeBeez and PBV), and “Law Firm of the Year 2020 for Fintech” (TopLegal Industry Awards).
During the initial surge of the COVID-19 pandemic in Italy, he collaborated with the Italian Ministry of Innovation, the Finance Commission, and VC Hub to draft urgent measures aimed at providing financial support to tech and innovative companies across Italy. Additionally, his client Bending Spoons developed the Immuni app, which was selected by the Italian Ministry of Health to track the spread of COVID-19 throughout the country.
Over the course of his 22-year professional career, he has played an instrumental role in a number of significant transactions and has assisted various well-known companies, including Gruppo Intesa San Paolo, Cattolica Assicurazioni, Teko Telecom, Octo Telematics, and Prima Assicurazioni. Furthermore, Attilio Mazzilli has advised Banca Sella Holding and Fabrick on a joint venture agreement with illimity Bank regarding Hype, Cerba HealthCare on its acquisition of Lifebrain from Investindustrial, and Scalapay on both its Series B financing round led by Tencent and its Series A financing round led by Tiger Global.
